MPR² General terms and conditions of sale
These General Terms and Conditions of Sale govern the contractual relationships between MPR2, a company specialized in the sale and repair of luxury watches, and its customers. By placing an order, the customer fully accepts the following conditions.
Each order placed with MPR2 through the Website or directly is governed by these General Terms and Conditions of Sale. Unless otherwise stated, these terms apply to the exclusion of any other provisions.
Our General Terms and Conditions of Sale may be modified at any time and published on the Website in their most recent version. We recommend checking them regularly to stay informed of any updates. The General Terms and Conditions of Sale in effect at the time of your order will apply, unless a change is mandated by law or a government authority, in which case these modifications may apply to previously placed orders.
Prices
The prices of the products you have ordered are indicated in Swiss Francs, US Dollars, UAE Dirhams, Hong Kong Dollars, or Euros on the website at the time of your order, including all applicable taxes, excluding any customs duties or foreign taxes.
MPR2 reserves the right to modify its prices at any time, but products will be invoiced based on the prices in effect at the time the order is confirmed.
Order
Orders can be placed through our website, by phone, or in-store. Any order constitutes acceptance of the prices and descriptions of the products available for sale. MPR2 will confirm acceptance of the order by sending a sales contract.
Payment
Payment is due immediately after the order is placed and must be made according to the method selected during the order process. Payments can be made by credit card, bank transfer, or in cash, within the legal limit applicable in the country of the respective store.
Until full payment for the relevant products is received, the order will be placed on hold. No shipment will be made until confirmation that payment has been fully executed.
MPR2 reserves the right to refuse any new orders until the outstanding balance has been fully settled. MPR2 retains full ownership of the products until full payment of the price and associated costs has been received.
Delivery
Products are delivered to the address provided by the customer at the time of the order. Delivery times are given as an indication and may vary depending on the destination. MPR2 cannot be held responsible for delays caused by postal services or carriers.
In order to ensure timely delivery of orders, MPR2 strives to maintain adequate stock levels of products. However, due to the often unique nature of these pieces, stock shortages may occur that prevent the fulfillment of all orders. In such cases, you agree that MPR2 may make partial deliveries, delay shipments, or cancel the order, without being considered in breach of its obligations.
The risk of loss or damage to your products is transferred to you at the time of pickup in-store or delivery to your specified address.
Product verification
Upon delivery or pickup, we kindly ask you to verify that the products received correspond to those mentioned in your order confirmation. If you notice any damage or missing items, you must report the issue and contact our customer service within a maximum of two days after delivery. If we do not receive any notification from you within this time frame by email at support@mpr2.ch, the products will be considered as received in good condition, without defect or damage, and accepted as is, unless a latent defect is discovered later.
In the event of discovering a latent defect, you must immediately inform MPR2 upon discovery, and no later than two days after the discovery, by email at support@mpr2.ch.
Return and refund policy
In accordance with our policy, watches purchased cannot be returned or refunded, whether you are based in the European Union, Switzerland, or any other country outside of Europe.
Liability
We expressly disclaim any liability for loss or damage arising from non-compliance with these General Terms and Conditions of Sale. The products we provide are intended solely for personal and private use. You agree not to use these products for commercial, professional, or resale purposes. Furthermore, we disclaim any liability for loss of profits, loss or interruption of business, or loss of business opportunities.
Without limiting the scope of these General Terms and Conditions of Sale and to the extent permitted by mandatory applicable law, you expressly acknowledge and agree that we are not responsible for any direct or indirect, accidental or consequential damages of any kind (including those whose possibility was known or should have been known by MPR2), including, but not limited to, damages arising from tort law, loss of profits, loss of use, loss of data, or other intangible losses resulting from (i) the use or inability to use the products, (ii) the information and indications provided on the Site regarding the products, or (iii) any other cause related to the products. In any event, no claim, of any kind, concerning delivered products or non-delivery of products, or any other reason, may exceed the purchase price of the relevant product(s).
Miscellaneous
These General Terms and Conditions of Sale constitute the entire agreement between MPR2 and yourself regarding the acquisition of watches or luxury accessories through our website or stores. Any other provisions set forth by MPR2 governing its relationship with you, including those related to the use of the website or our privacy policy, complement these General Terms and Conditions of Sale. In case of contradiction, these General Terms and Conditions of Sale will take precedence.
If any provision of these General Terms and Conditions of Sale is found to be invalid or unenforceable for any reason or legal cause, the parties agree that the intention behind the invalid provision will be implemented to the fullest extent possible, and the remaining provisions of these General Terms and Conditions of Sale will remain in full force and effect.
You may not assign or transfer any of your rights or obligations under these General Terms and Conditions of Sale. However, MPR2 reserves the right to assign or transfer any right or obligation, or to subcontract the performance of any of its obligations, to any third party, at any time, without requiring your prior consent.
Any tolerance or waiver by MPR2 in the full or partial application of the clauses of these General Terms and Conditions of Sale, regardless of the frequency or duration, shall not constitute a waiver of its right to enforce them in the future.
The title of the articles in the General Terms and Conditions of Sale is for reference only and cannot alter or modify these conditions in any way.
Applicable law and competent court
Subject to the mandatory provisions of another applicable legal system, these General Terms and Conditions of Sale, as well as your purchase of products, are governed by and interpreted in accordance with Swiss substantive law, excluding the United Nations Convention on Contracts for the International Sale of Goods, and regardless of conflict of laws rules.
Any dispute or claim arising from or related to these General Terms and Conditions of Sale will be governed by Swiss law, and the courts of the Canton of Vaud will have exclusive jurisdiction to resolve such disputes.
